Affiliate Terms

NeuroPeak Affiliate Program Terms

Last updated: [DATE PLACEHOLDER]. These terms govern participation in the NeuroPeak Affiliate Program (the “Program”). By applying to or participating in the Program, you (“Affiliate”, “you”) agree to these terms. If you do not agree, do not apply.

1. Overview

The Program lets approved participants earn a commission for referring new customers to NeuroPeak. Participation is voluntary, subject to approval, and governed by these terms. Nothing in the Program creates an employment, agency, partnership, or joint-venture relationship between you and NeuroPeak. You are an independent participant and may not represent yourself as an employee, agent, or official representative of NeuroPeak.

2. Eligibility

  • You must be at least 18 years of age (or the age of legal majority in your jurisdiction, if higher).
  • You must have the legal capacity to enter into a binding agreement.
  • You must provide accurate, complete, and current information in your application and keep it up to date.
  • You must comply with all laws and regulations that apply to you, your promotional activity, and your audience.
  • You may not participate, and your application may be declined, if your promotional channels, audience, or jurisdiction make participation or the advertising of the offer unlawful (see Section 11).

3. Application and Manual Approval

Every application is reviewed and approved manually. Submitting an application does not guarantee acceptance. NeuroPeak may approve or decline any application at its sole discretion, with or without giving a reason. Approval is required before you may use any affiliate link or earn any commission. NeuroPeak may also revoke approval at any time in accordance with these terms.

4. Commission Model

  • The commission rate is 19% of eligible order value.
  • Commission is calculated on the order value excluding shipping and tax.
  • Commission is earned only on qualifying orders placed by validly referred new customers and only after those orders are confirmed and have cleared the holding period (see Section 6).
  • Commission applies only to transactions that are not excluded under Section 7.

The 19% rate and the basis of calculation are indicative and pending final confirmation; the confirmed figures will be set out in the published version of these terms.

5. Referral Attribution

  • Referrals are attributed to the first referrer. Where multiple affiliates could be credited, the first valid referral takes precedence.
  • Attribution is tracked using a 30-day cookie. If a referred visitor completes a qualifying order within 30 days of the tracked referral, the order may be attributed to you, subject to these terms.
  • Attribution depends on the visitor’s browser accepting and retaining the tracking cookie. NeuroPeak does not guarantee attribution where cookies are blocked, cleared, expired, or otherwise unavailable, or where the customer’s order cannot reliably be linked to your referral.
  • NeuroPeak’s records are the authoritative source for attribution, eligibility, and commission calculation.

6. Holding Period

A referred order is subject to a holding period of 14 days before any associated commission becomes payable. The holding period allows time for returns, cancellations, chargebacks, fraud review, and other adjustments. Commission for an order does not accrue as payable until the holding period has elapsed and the order remains valid and eligible. The duration of the holding period is pending confirmation and may change in the published version of these terms.

7. Excluded Transactions

No commission is earned on the following, and any commission provisionally attributed to such transactions will be reversed:

  1. Free samples and other no-charge promotional items.
  2. €0 items or any line item with no order value.
  3. Shipping-only charges and any portion of an order representing shipping or tax.
  4. Refunded orders or refunded portions of orders.
  5. Cancelled orders.
  6. Failed orders, including orders where payment is not successfully completed.
  7. Fraudulent transactions and chargebacks, including orders reversed or disputed after the fact.
  8. Self-referrals, including orders placed by you, on your behalf, or through accounts, addresses, or payment methods associated with you.
  9. Internal and test orders, including orders created by NeuroPeak for testing, demonstration, or administrative purposes.

NeuroPeak may withhold, adjust, or reverse commission where it reasonably determines that a transaction falls within an excluded category or otherwise does not qualify.

8. Payouts (Bitcoin)

  • Payouts are made manually and in Bitcoin (BTC) only. No other payout currency or method is offered.
  • You must provide your own public BTC address for receiving payouts. You are solely responsible for the accuracy of the address you provide and for confirming you control it.
  • BTC transactions are irreversible. An incorrect, mistyped, or invalid address can result in the permanent and irreversible loss of funds. NeuroPeak is not responsible for losses caused by an incorrect or invalid address you supply.
  • NeuroPeak will never ask you for your seed phrase, recovery phrase, or private keys. Anyone requesting these is attempting to defraud you. Provide only your public receiving address.
  • Payouts are sent by hand, and a transaction ID (TXID) is recorded as proof of payment. The recorded TXID is conclusive evidence that a payout was sent to the address you supplied.
  • A minimum payout threshold applies (amount TBD). Eligible commission below the threshold may be carried forward until the threshold is reached.
  • You are responsible for any taxes, reporting obligations, or charges that apply to commission you receive. Network (mining) fees, where applicable, may be handled as set out in the published version of these terms.
  • The BTC amount of a payout is determined at the time the payout is sent. NeuroPeak is not responsible for changes in the value of BTC before, during, or after a payout.

9. Prohibited Conduct

You must not engage in any of the following. Each item is grounds for suspension, forfeiture of commission, and termination (see Section 10):

  1. Medical or health claims. Do not make or imply any medical, therapeutic, curative, diagnostic, or health-benefit claims about any product, and do not promise or suggest any health outcome or efficacy.
  2. Marketing to minors. Do not target, market to, or knowingly promote to anyone under 18, and do not use channels, content, or placements directed at minors.
  3. Spam. Do not send unsolicited bulk email, messages, comments, or postings, and do not use any deceptive, intrusive, or non-compliant messaging practices.
  4. Impersonating NeuroPeak. Do not represent yourself as NeuroPeak or its staff, and do not create accounts, profiles, pages, or communications that suggest you are NeuroPeak or speak officially on its behalf.
  5. Coupon hijacking. Do not inject, overwrite, or hijack affiliate tracking around coupon, deal, or discount activity, and do not misappropriate referrals through coupon-related schemes.
  6. Brand bidding. Do not bid on the term “NeuroPeak” or confusingly similar variants in paid search or other paid advertising.
  7. Lookalike or typosquat domains. Do not register or use domains, subdomains, or handles that imitate, misspell, or could be confused with “NeuroPeak”.
  8. Fake coupons. Do not advertise, distribute, or imply coupons, codes, or discounts that do not genuinely exist or are not authorized.
  9. Promotion in restricted jurisdictions. Do not promote the offer, or advertise it, in any jurisdiction where the offer or its advertising is unlawful, or to audiences for whom such promotion is unlawful.

This list is not exhaustive. NeuroPeak may treat other conduct that is unlawful, deceptive, harmful to the brand, or in breach of these terms as prohibited.

10. Suspension, Forfeiture, and Termination

  • NeuroPeak may suspend your participation, withhold pending payouts, and investigate where it reasonably suspects a violation of these terms.
  • Where a violation is found, NeuroPeak may forfeit any commission affected by the violation, including commission that has not yet been paid, and may reverse commission already attributed.
  • NeuroPeak may terminate your participation at any time, with or without cause. You may leave the Program at any time by ceasing to use affiliate links and notifying NeuroPeak.
  • On termination, your right to use affiliate links ends immediately. Commission that was validly earned, has cleared the holding period, and is not subject to forfeiture may be paid in accordance with these terms; all other amounts may be withheld.
  • Sections concerning excluded transactions, prohibited conduct, forfeiture, data, governing law, and any provision that by its nature should survive, continue to apply after termination.

11. Restricted Jurisdictions

You are responsible for ensuring that your participation, your promotional activity, and the offer you promote are lawful in every jurisdiction you target and in your own jurisdiction. You must not promote the offer, or advertise it, where the offer or its advertising is unlawful. NeuroPeak may restrict or decline participation on this basis at its discretion.

12. Data Protection and GDPR

NeuroPeak processes personal data in connection with the Program (for example, your application details, contact information, BTC payout address, and referral records) in accordance with applicable data protection law, including the EU General Data Protection Regulation (GDPR) where it applies. Processing is described in the NeuroPeak Privacy Policy [LINK PLACEHOLDER], which forms part of these terms by reference. Where your own promotional activity involves processing personal data of others, you are responsible for complying with applicable data protection and electronic-marketing law, including obtaining any required consents and providing any required notices. The respective roles and responsibilities of the parties under data protection law will be confirmed in the published version of these terms and any associated data processing terms.

13. Changes to These Terms

NeuroPeak may update or modify these terms, including the commission rate, holding period, attribution rules, and payout terms, at any time. Material changes will be communicated by a reasonable method (for example, by notice on the Program page or by email). Your continued participation after changes take effect constitutes acceptance of the updated terms. If you do not accept a change, you must stop participating and may leave the Program.

14. Disclaimers and Limitation of Liability

The Program is provided on an “as is” and “as available” basis. NeuroPeak does not guarantee any level of earnings, traffic, attribution, or availability, and does not guarantee uninterrupted or error-free tracking. To the maximum extent permitted by applicable law, NeuroPeak is not liable for indirect, incidental, or consequential losses, or for losses arising from incorrect payout details you supply, blocked or expired tracking, or changes in the value of BTC. Nothing in these terms limits any liability that cannot be limited under applicable law. [This section to be reviewed and finalized by legal counsel.]

15. Governing Law
